TRAVEL TERMS & CONDITIONS

This Travel Terms & Conditions Agreement (the “Agreement”) constitutes a binding legal contract between each Traveler, defined herein as any individual who books, pays for, participates in, or otherwise engages with any travel program, itinerary, tour, or related services (each, a “Trip”), and Life & Thyme, Inc. (“Life & Thyme,” “we,” “us,” or “our”).

By booking a Trip, submitting any payment, or participating in any Trip, Traveler acknowledges having carefully read, understood, and agrees to be fully bound by this Agreement.

THIS AGREEMENT CONTAINS A RELEASE OF LIABILITY AND WAIVER OF CERTAIN LEGAL RIGHTS. PLEASE READ CAREFULLY BEFORE BOOKING.

1. CONTRACT FORMATION; RESERVATIONS & PAYMENTS

A reservation is confirmed only when Life & Thyme receives a Deposit equal to fifty percent (50%) of the total published Trip price and issues written confirmation of Traveler’s booking. Submission of the Deposit constitutes Traveler’s irrevocable offer to enter into this Agreement. The remaining fifty percent (50%) balance is due in cleared funds no later than forty-five (45) days prior to the Trip start date (the “Final Payment Deadline”). Failure to remit Final Payment by the deadline constitutes a material breach and may result in cancellation without refund.

2. CANCELLATIONS BY TRAVELER

Traveler may cancel participation in a Trip only by written notice to Life & Thyme. The effective date of cancellation shall be the date such notice is received and acknowledged by Life & Thyme.

If written notice is received more than forty-five (45) days before the Trip start date, Life & Thyme will refund payments less a cancellation fee of USD $500.

If received forty-five (45) days or fewer before the start date, the entire Trip price is deemed earned and non-refundable.

If Life & Thyme, in its sole discretion, replaces the canceled Traveler with another Traveler from its waitlist, Life & Thyme may refund amounts paid less the USD $500 fee, but such replacement is not guaranteed.

No refunds or credits shall be made for Traveler’s failure to join the Trip, early departure, unused services, delays, or removal pursuant to this Agreement.

3. ITINERARY CHANGES; FORCE MAJEURE

Life & Thyme reserves the right to amend, modify, re-sequence, substitute, or cancel any aspect of the Trip (including accommodations, activities, meals, transportation, guides, or suppliers) when deemed reasonably necessary for Traveler safety, legal compliance, operational viability, or partner requirements, or due to conditions beyond Life & Thyme’s control, including but not limited to severe weather, natural disasters, epidemics or public-health restrictions, civil unrest, strikes, terrorism, governmental action, mechanical failure, or supplier insolvency.

Such changes do not constitute a breach of contract, and Life & Thyme shall have no liability for resulting loss, cost, or inconvenience.

4. TRAVELER RESPONSIBILITIES; HEALTH & FITNESS

Traveler is solely responsible for:

• Obtaining a valid passport and any required visas or entry permits;
• Compliance with customs, immigration, health, and testing requirements;
• Maintaining physical capability suitable for Trip activities.

Trips may involve extended walking, uneven terrain, stairs, inclines, adverse weather, and crowded conditions. Traveler affirms adequate physical and mental fitness to safely participate and assumes all associated risks.

Dietary restrictions may not always be accommodated; Life & Thyme is not liable for allergen exposure.

5. THIRD-PARTY SUPPLIERS & INDEPENDENT CONTRACTORS

Life & Thyme engages independent Suppliers including hotels, transportation providers, restaurants, venues, guides, and activity operators. Such Suppliers are not agents or employees of Life & Thyme, which does not supervise or control their actions.

Traveler agrees that Life & Thyme is not liable for any act, omission, negligence, breach of contract, insolvency, misconduct, or failure of any Supplier, nor for personal injury, property loss, disappointment, inconvenience, or expense arising therefrom. Traveler’s recourse is solely against the Supplier.

6. INDEMNIFICATION BY TRAVELER

Traveler shall defend, indemnify, and hold harmless Life & Thyme and its officers, directors, employees, contractors, affiliates, and agents from and against all claims, damages, losses, liabilities, fines, penalties, and expenses (including attorneys’ fees) arising from:

• Traveler’s negligence or willful misconduct;
• Traveler’s breach of this Agreement;
• Traveler’s violation of any law or instruction;
• Any claim brought by a third party resulting from Traveler’s conduct.

This obligation survives completion or termination of the Trip.

7. COMPLIANCE WITH LAWS & GOVERNMENTAL REQUIREMENTS

Traveler shall comply at all times with local laws, customs, and governmental directives. Traveler is responsible for all consequences of non-compliance, including arrest, fines, property or visa seizure, deportation, quarantine, or refusal of entry. Violation of such requirements constitutes a material breach and may result in removal from the Trip without refund and at Traveler’s sole expense.

8. ASSUMPTION OF RISK; RELEASE OF LIABILITY

Travel entails inherent risks including illness, accident, foodborne harm, equipment failure, vehicular incidents, theft, property loss, delays, natural events, and hazards arising from local conditions. Traveler knowingly and voluntarily assumes all such risks, whether known or unknown, and releases Life & Thyme from liability for loss, damage, injury, or death except to the extent caused solely by Life & Thyme’s gross negligence or willful misconduct.

9. PERSONAL PROPERTY

All baggage and belongings remain at Traveler’s own risk at all times. Life & Thyme shall not be liable for loss, theft, or damage to any personal property.

10. LIMITATION OF LIABILITY; CONSEQUENTIAL DAMAGES WAIVER

In no event shall Life & Thyme be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of enjoyment, emotional distress, lost profits, reputational harm, or claims of third parties, even if advised of the possibility of such damages.

Maximum aggregate liability of Life & Thyme shall not exceed the total amount paid by Traveler directly to Life & Thyme for the Trip at issue.

11. INSURANCE

Traveler is strongly advised to obtain comprehensive travel insurance covering medical emergencies, evacuation, trip interruption, and baggage loss. Lack of insurance may expose Traveler to substantial financial risk, which Traveler agrees to bear solely.

12. MEDIA RELEASE

By participating, Traveler grants Life & Thyme an irrevocable, perpetual, royalty-free license to use Traveler’s image, likeness, and recorded participation in any medium for promotional purposes, unless Traveler opts out in writing prior to Trip commencement.

13. PRIVACY & DATA

Life & Thyme collects only information required to operate the Trip and may share such data with relevant Suppliers as necessary. Personal data will not be sold.

14. GOVERNING LAW; MANDATORY ARBITRATION; CLASS ACTION WAIVER

This Agreement is governed exclusively by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively by binding arbitration in Los Angeles County, California. Traveler expressly waives any right to a jury trial or to participate in a class, collective, or representative action.

15. SEVERABILITY

If any provision herein is held unenforceable, the remaining provisions shall remain in full force and effect.

16. AMENDMENT & ENTIRE AGREEMENT

Modifications must be in writing signed by an authorized Life & Thyme representative. This Agreement constitutes the entire understanding between the parties and supersedes all prior communications.

ACKNOWLEDGMENT

By making payment or participating in the Trip, Traveler affirms:

“I HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.”
